Statement from Univision Communications Inc. Regarding its Lawsuit Filed Against Charter Communications, Inc.

NEW YORK – JULY 8, 2016 – Today, Univision filed a lawsuit against Charter Communications, Inc., which just acquired Time Warner Cable and became the second largest cable company in the United States. Univision had no alternative because Charter has outright refused to negotiate a renewal agreement with Univision. Charter insists that the contract Univision had with Time Warner Cable is controlling, rather than its own contract with Univision. Charter bases this argument on the preposterous theory that as a result of the merger, Time Warner Cable, rather than Charter, is managing all these cable systems. But everyone knows that is not true: the longstanding CEO and the executive team of Charter, as well as its pre-existing board of directors, now manage and control all of the cable systems. Indeed, Charter pitched this deal to regulators, its subscribers, and the public, as one where its management team would take control of the combined company, and that is exactly what happened. Quite simply, Charter promised one thing publicly in order to secure approval for its acquisition and is now privately claiming the exact opposite to Univision.

DECLARACIONES DE UNIVISION COMMUNICATIONS INC. SOBRE LA DEMANDA QUE PRESENTÓ CONTRA CHARTER COMMUNICATIONS, INC.


NUEVA YORK – 8 DE JULIO DE 2016 – Hoy, Univision presentó una demanda contra Charter Communications, Inc., que acaba de adquirir Time Warner Cable y pasó a ser la segunda empresa más grande de cable en los Estados Unidos. Univision no tuvo otra alternativa debido a que Charter se rehusó rotundamente a negociar un acuerdo de renovación con Univision. Charter insiste que rige el contrato que Univision tenía con Time Warner Cable, en vez de su propio contrato con Univision. Charter basa este argumento en la teoría absurda de que, como resultado de la unión, Time Warner Cable, en vez de Charter, está administrando todos estos sistemas de cable. Pero todos saben que eso no es cierto: el director general que Charter tiene hace tiempo y su equipo ejecutivo, además de su junta directiva previa, administran y controlan ahora todos los sistemas de cable. De hecho, Charter promovió este acuerdo ante las entidades normativas, sus suscritores y el público como uno en que el equipo gerencial asumiría control de la compañía conjunta, y eso es exactamente lo que sucedió. En pocas palabras, Charter prometió algo públicamente a fin de lograr la aprobación para su adquisición y ahora afirma en privado exactamente lo opuesto a Univision.
